Terms of Service

1. Acceptance of terms

By creating an account on Cloza (withcloza.com), you agree to be bound by these Terms of Service. If you do not agree, do not use the platform.

2. What Cloza is

Cloza is a freelance workflow platform that enables Nigerian freelancers to create proposals, collect digital signatures, and manage milestone-based payments through Paystack's payment infrastructure. Cloza is not a bank, financial institution, or payment processor.

3. User accounts

You must be at least 18 years old to create an account. You are responsible for maintaining the security of your account credentials. You must provide accurate information, including a valid Nigerian bank account for payouts.

Accounts found to be fraudulent, abusive, or in violation of these terms may be suspended or permanently removed.

4. Platform fees

Cloza charges a 2% platform fee on all payments released through the escrow system. This fee is deducted automatically at the point of release. There are no monthly fees, setup fees, or hidden charges. The Verified Pro badge is a one-time fee of ₦5,000.

5. Payments and escrow

Client payments are processed by Paystack and held via their subaccount and splits infrastructure. Cloza does not hold client funds directly. Funds are released to freelancer subaccounts upon milestone approval or after the 72-hour auto-release window.

USD-denominated projects are processed in NGN by Paystack at their prevailing exchange rate. Cloza has no control over this rate.

6. Disputes

In the event of a dispute, both parties may submit evidence. Cloza's team will review and make a final determination within 24–48 hours. Cloza's decision is binding. A dispute fee of ₦2,500 may be charged to the party found to have acted in bad faith.

7. Prohibited conduct

You may not use Cloza for fraud, money laundering, spam, or any illegal activity. You may not impersonate another person or misrepresent your identity. Violation may result in immediate account termination and reporting to relevant authorities.

8. Limitation of liability

Cloza is provided "as is." We are not liable for disputes between freelancers and clients beyond what our dispute resolution process covers. We are not liable for Paystack service interruptions, exchange rate fluctuations, or payment delays caused by financial institutions.

9. Changes to these terms

We may update these terms from time to time. Continued use of Cloza after changes constitutes acceptance of the new terms.
